Shuppz Merchant Terms
Business rules for demand signals, offers, Campaign Studio, Market Days, fulfillment, customer data and merchant control.
Shuppz is currently a pre-incorporation Early Beta project. These documents are tailored to the current Shuppz product and are intended to govern the Beta framework, but the formal operator identity, legal contact, formation jurisdiction and any jurisdiction-specific dispute provisions must be completed and reviewed by qualified counsel before production commercial launch.
1. Merchant relationship
These Merchant Terms supplement the Shuppz Terms of Use for any business, artisan, creator, restaurant, service provider or other commercial participant using a merchant account.
The person accepting these terms represents that they are authorized to act for the merchant.
2. Merchant-controlled commerce
Shuppz may surface shopper intent or an opportunity. The merchant alone decides whether the opportunity fits its inventory, capacity, margins, timing and commercial priorities.
Shuppz does not have authority to commit a merchant to an offer, set merchant pricing or force a merchant to act unless the merchant separately and explicitly delegates a supported action.
3. Business profile and offer accuracy
Merchants must provide accurate business identity, locations, service area, hours, products or services, pricing and other information they choose to publish.
A merchant must promptly correct materially inaccurate information and must not list unavailable, unlawful or misleading goods or services.
4. Shopper intent data restrictions
Demand signals are provided to help the merchant evaluate relevant marketplace opportunity. A merchant may use those signals only for legitimate Shuppz-related commerce and must not sell, broker, scrape, re-identify or repurpose shopper data for unrelated profiling.
A merchant must not contact a shopper outside Shuppz unless the shopper has provided contact information or consent through a feature that clearly permits that contact.
5. Campaign Studio
Campaign Studio provides formats such as Deal, Drop, Flash Sale, Clearance, Product Launch, Service Window and Market Day so a merchant can choose a response that fits the opportunity.
A campaign is the merchant’s commercial decision. Shuppz does not guarantee audience size, conversion, sales or return on spend.
6. Market Days and partnerships
A merchant may participate in or help host a Market Day subject to the event rules presented for that Market Day.
Each merchant remains independent, controls its own offer and is responsible for its own products, taxes, licenses, fulfillment and customer obligations.
Participation does not create a partnership, franchise, agency or joint venture between Shuppz and the merchant or among participating merchants.
7. Pricing, fees and taxes
Current Early Beta participation may be offered without payment as stated at signup. Shuppz does not promise permanent free service or future pricing.
Any platform fee, subscription, transaction fee or paid service must be disclosed in a separate commercial term before it applies.
The merchant is responsible for determining and remitting taxes, fees or regulatory charges associated with its sales unless law or a separate agreement assigns that duty elsewhere.
8. Fulfillment, returns and customer service
Unless expressly stated otherwise, the merchant is the seller or service provider responsible for fulfillment, quality, safety, warranties, returns, refunds, cancellations and customer service.
Merchant refund and cancellation terms must comply with applicable law and the Shuppz Returns, Refunds & Cancellations Policy.
9. Reviews and marketplace integrity
Merchants must not create, purchase, solicit or coordinate fake reviews, fake shopper demand, fabricated claims, self-dealing transactions or misleading scarcity.
Shuppz may limit review eligibility to transaction-verified completed purchases and may remove content that violates platform integrity rules.
10. Licenses and regulated activity
A merchant must hold licenses, permits, registrations and insurance required for its goods, services and locations.
A merchant must not use Shuppz for regulated or prohibited goods or services in violation of the Acceptable Use Policy or applicable law.
11. Merchant content and brand
The merchant retains ownership of its names, logos, photos, descriptions and other content. The merchant grants Shuppz a limited license to display and format that content to provide the marketplace and campaigns the merchant chooses.
The merchant must have rights to content it uploads.
12. Security and access
Merchant accounts must be limited to authorized users. The merchant is responsible for managing access and promptly removing users who no longer require it.
Security-sensitive changes may require re-authentication or additional verification.
13. Data protection
Each party must comply with applicable privacy law for personal information it controls. If Shuppz processes personal information solely on documented merchant instructions as a processor, the Shuppz Data Processing Addendum applies when executed or incorporated into the merchant agreement.
Not every Shuppz dataset is merchant-processor data. Shopper marketplace intent that Shuppz determines how to collect and use for the marketplace may be controlled by Shuppz rather than processed solely on behalf of one merchant.
14. Enforcement and termination
Shuppz may restrict merchant capabilities, remove unlawful content or suspend access when reasonably necessary to protect users, comply with law or enforce platform rules.
A production merchant agreement should define notice, cure periods, appeal rights and post-termination data handling.
15. Commercial legal terms
Formal indemnity, governing law, venue, arbitration, insurance requirements, liability caps, service levels and paid economics must be finalized for the incorporated Shuppz entity before paid production service. This Beta draft does not invent those facts.
