Shuppz Terms of Use
Rules for using the Shuppz Early Beta marketplace, shopper intent features, merchant responses, Campaign Studio and Market Days.
Shuppz is currently a pre-incorporation Early Beta project. These documents are tailored to the current Shuppz product and are intended to govern the Beta framework, but the formal operator identity, legal contact, formation jurisdiction and any jurisdiction-specific dispute provisions must be completed and reviewed by qualified counsel before production commercial launch.
1. About these Terms
These Terms govern access to and use of the Shuppz Early Beta website, marketplace surfaces, shopper discovery tools, merchant workspaces, demand-signal features, Campaign Studio, Market Days, Deals, Drops and related services.
Shuppz is currently a pre-incorporation Early Beta project. In these Terms, “Shuppz,” “we,” “us,” and “our” refer to the current project operator and, when lawfully formed and assigned, any successor entity that assumes these Terms. Formal operator identity, governing-law forum and legal contact details must be finalized before production commercial launch.
By creating an account, joining the Beta, submitting a shopper request, using a merchant workspace, or otherwise using Shuppz, you agree to these Terms and any additional terms clearly presented for a specific feature.
2. Eligibility and accounts
The Early Beta is intended for adults who can form a binding contract. A business account must be created or used by a person authorized to act for that business.
You must provide accurate registration information, protect your credentials, complete required email or one-time-code verification, and promptly update information that becomes inaccurate.
You are responsible for activity under your account unless you promptly report unauthorized use.
3. What Shuppz is — and is not
Shuppz is a demand-led marketplace and commerce coordination platform. It helps shoppers express interests and intent, and helps participating businesses review relevant demand signals and decide whether and how to respond.
Unless a specific checkout or agreement expressly says otherwise, Shuppz is not the seller of a merchant’s goods or services, does not take title to merchant inventory, does not promise that a shopper will buy, does not promise that a merchant will respond, and does not guarantee revenue, conversion, demand volume, availability, or commercial results.
Shuppz does not represent that it holds funds in escrow or provides a regulated escrow service. Any payment, settlement or funds-flow feature will be governed by separate disclosures if and when activated.
4. Shopper intent and discovery
Shoppers may search, follow businesses or interests, save items, participate in Market Days, and use features such as “I Want This” to describe a product, price range, category, experience or other need.
A shopper signal is an expression of interest, not a purchase order, reservation, guarantee, credit commitment or legally binding promise to buy.
Shuppz may organize, aggregate, rank or summarize shopper signals to make discovery and merchant opportunity review more useful, subject to the Privacy Notice.
5. Merchant control and responsibilities
The merchant alone decides whether to act on a demand signal and remains responsible for the products, services, prices, inventory, capacity, eligibility rules, taxes, licenses, claims, fulfillment and customer service it offers.
Merchant content must be accurate, current and not misleading. A merchant must not imply guaranteed availability, savings, scarcity or popularity unless it can substantiate the claim.
Merchants must honor applicable consumer-protection, pricing, advertising, accessibility, safety, licensing, refund and other laws.
6. Deals, Drops, Campaign Studio and Market Days
Campaign Studio is intended to help a merchant choose an appropriate response format for an opportunity. It is not represented as a general-purpose advertising network, media-buying service, or guaranteed customer-acquisition service.
A Drop, Flash Sale, Clearance, Product Launch, Service Window or similar campaign remains the merchant’s offer. The merchant controls participation, inventory or capacity, timing and commercial terms.
A Shuppz Market Day is a shared discovery moment that may bring multiple participating businesses together. Each merchant remains independent and responsible for its own offers and obligations.
7. Transactions, fulfillment and reviews
Where Shuppz facilitates a transaction lifecycle, the merchant remains responsible for lawful fulfillment unless a separate written agreement states otherwise.
Reviews on Shuppz are intended to be transaction-verified. Shuppz may permit a review only after the relevant deal or purchase lifecycle reaches the required completed state. Shuppz does not authorize fabricated ratings, paid fake reviews or review manipulation.
A review reflects the reviewer’s experience and does not represent a Shuppz endorsement.
8. Beta status and changes
The Early Beta may contain defects, incomplete features, test-mode surfaces, changing workflows or periods of unavailability. Features may be added, limited, changed or removed as Shuppz learns from Beta use.
Sample or simulated activity must be identified as such and must not be presented as genuine marketplace activity.
Early access or recognition does not create a promise of permanent pricing, lifetime benefits, future visibility, queue position, exclusivity or guaranteed continued access.
9. Acceptable use
You must comply with the Shuppz Acceptable Use Policy. Prohibited conduct includes illegal commerce, fraud, impersonation, fake demand, fake reviews, malicious automation, scraping that bypasses product controls, interference with security, harassment, intellectual-property infringement and privacy violations.
10. Intellectual property and licenses
Shuppz and its licensors retain rights in the platform software, interface, original content, data models, designs and other protected materials, subject to rights held by the current pre-incorporation operator and any future successor entity.
You retain ownership of content you submit. You grant Shuppz a non-exclusive, worldwide, royalty-free license to host, reproduce, format, display and distribute that content only as reasonably necessary to operate, secure, improve and provide the services you choose to use.
You represent that you have rights to content you submit and that its use on Shuppz will not violate another person’s rights.
11. Feedback
If you voluntarily provide product feedback, you permit Shuppz to use that feedback to evaluate and improve the product without payment or attribution. This does not transfer ownership of your unrelated inventions, confidential business information or pre-existing intellectual property.
12. Suspension and termination
Shuppz may restrict or suspend access when reasonably necessary to protect users, investigate abuse, comply with law, address security risk, enforce these Terms or protect platform integrity.
Where practical and lawful, Shuppz should provide notice of a material account restriction and a way to request review.
You may stop using Shuppz at any time, subject to obligations that by their nature survive termination.
13. Third-party services and links
Shuppz may link to or interoperate with third-party services. A provider is not active merely because its name is recognized by the platform. Any live connection, payment processor, marketplace or integration is governed by its own terms and privacy practices.
Shuppz is not responsible for third-party services it does not control.
14. Disclaimers
To the maximum extent permitted by applicable law, the Early Beta is provided on an “as available” and “as is” basis. Shuppz does not warrant uninterrupted operation, error-free functionality, merchant performance, shopper purchase behavior or a particular commercial outcome.
Nothing in these Terms excludes a warranty or consumer right that cannot lawfully be excluded.
15. Limitation of liability
To the maximum extent permitted by applicable law, Shuppz will not be liable for indirect, incidental, special, exemplary or consequential losses arising from use of the Early Beta, including lost profits, lost opportunity, loss of data or business interruption, except where such limitation is prohibited by law.
Any monetary liability cap, governing-law clause, venue selection, arbitration provision or class-action waiver must be finalized for the incorporated operating entity and reviewed for the user’s jurisdiction before production launch. This Early Beta draft intentionally does not pretend those facts have already been selected.
16. Merchant indemnity
A merchant is responsible for claims arising from its products, services, offers, taxes, licenses, unlawful content, fulfillment failures or breach of these Terms. Any formal indemnity obligation should be finalized in the Merchant Terms and the incorporated entity’s commercial agreement before paid production service begins.
17. Changes to these Terms
Shuppz may update these Terms as the Beta changes. Material changes should be identified by a new effective date and, where required, presented for renewed acceptance.
18. Contact and legal status
During the pre-incorporation Beta, governance questions and rights requests should be submitted through the support or contact channel displayed by Shuppz. A dedicated legal contact, formal operator name and service address must be published before production commercial launch.
No use of the Shuppz name in these Terms states or implies that Shuppz is already an incorporated or registered entity.
